1. Acceptance of Terms
Welcome to Chaptr! These Terms of Service ("Terms") govern your access to and use of Chaptr's mobile application (the "Service"). The Service is operated by Chaptr ("Chaptr," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
2. Eligibility and Account Registration
2.1 Age Requirement
You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you are at least 13 years old. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Service.
2.2 Account Creation
To access most features of the Service, you must create an account. When you create an account, you must:
- Provide accurate, current, and complete information, including your date of birth
- Maintain and promptly update your account information
- Maintain the security of your account by protecting your password
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
2.3 Account Responsibility
You are responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activities that occur under your account. You agree to immediately notify Chaptr of any unauthorized use of your account or any other breach of security.
3. Description of Service
Chaptr is a social reading platform that enables users to discuss books, share reviews, post comments and notes, connect with other readers, and participate in book-related discussions.
Key features include:
- Sharing reviews, comments, and notes about books
- Connecting with friends and other readers
- Participating in group discussions and direct messages
- Joining or creating book clubs
- Chapter-by-chapter discussions with spoiler protection
Chaptr does not provide books or reading materials. Users discuss books they read on other platforms or in physical form.
4. User Content
4.1 Your Content
The Service allows you to post, upload, and share content, including but not limited to reviews, comments, notes, profile pictures, and messages (collectively, "User Content"). You retain ownership of your User Content, but you grant Chaptr certain rights as described below.
4.2 License to Chaptr
By posting User Content on the Service, you grant Chaptr a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and Chaptr's business.
4.3 Your Responsibilities
You are solely responsible for your User Content. You represent and warrant that:
- You own or have the necessary rights to post your User Content
- Your User Content does not violate these Terms or any applicable law
- Your User Content does not infringe on the intellectual property, privacy, or other rights of any third party
4.4 Prohibited Content
You agree not to post User Content that:
- Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- Infringes on any patent, trademark, trade secret, copyright, or other proprietary rights
- Contains viruses or other harmful computer code
- Promotes discrimination, hatred, or violence against individuals or groups
- Impersonates any person or entity
- Contains unsolicited advertising or promotional materials
- Violates the privacy rights of others
- Contains sexually explicit material involving minors
4.5 Content Moderation
Chaptr reserves the right, but is not obligated, to:
- Monitor, review, and remove User Content at our sole discretion
- Refuse or remove any User Content that violates these Terms
- Terminate or suspend accounts that violate these Terms
5. Community Guidelines
To maintain a positive environment, all users must:
- Treat other users with respect
- Engage in constructive discussions
- Report inappropriate content or behavior
- Not engage in spam, harassment, or bullying
- Not use the Service for any illegal purposes
- Not attempt to manipulate or game any features of the Service
- Not collect or harvest information about other users
Violation of these guidelines may result in content removal, account suspension, or termination.
6. Intellectual Property Rights
6.1 Chaptr's Intellectual Property
The Service and its content (excluding User Content), including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof (collectively, "Chaptr Content"), are the property of Chaptr and are protected by United States and international copyright, trademark, and other intellectual property laws.
6.2 Limited License
Subject to your compliance with these Terms, Chaptr grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial use.
6.3 Restrictions
You may not:
- Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Chaptr Content
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Use any automated system to access the Service
- Remove any copyright, trademark, or other proprietary notices from the Service
- Frame or mirror any part of the Service without our prior written authorization
6.4 Trademarks
"Chaptr" and associated logos are trademarks of Chaptr. You may not use these trademarks without our prior written permission.
6.5 Third-Party Content
Books, authors, publishers, and other third-party content discussed on the Service are the property of their respective owners. Chaptr does not claim any ownership rights to such content.
7. Third-Party Links and Services
The Service may contain links to third-party websites, services, or resources. We do not endorse and are not responsible for:
- The availability or accuracy of such websites or resources
- The content, products, or services available from such websites or resources
- The privacy practices of such websites or resources
You acknowledge and agree that Chaptr is not liable for any damage or loss caused by your use of or reliance on any such content, goods, or services available through third-party websites or resources.
8. Privacy
Your privacy is important to us. Please review our Privacy Policy, which is incorporated into these Terms by reference, to understand how we collect, use, and disclose information about you.
9. Disclaimers and Limitations of Liability
9.1 No Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
CHAPTR DOES NOT WARRANT THAT:
- The Service will meet your requirements
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from using the Service will be accurate or reliable
- Any errors in the Service will be corrected
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAPTR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
CHAPTR'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED $100.
9.3 User Content Disclaimer
Chaptr is not responsible for User Content posted on the Service. Opinions expressed by users do not reflect the opinions of Chaptr. We do not endorse any User Content or any opinion, recommendation, or advice expressed therein.
10. Indemnification
You agree to indemnify, defend, and hold harmless Chaptr, its officers, directors, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any rights of another party
- Your violation of any applicable law or regulation
11. Termination
11.1 Termination by You
You may terminate your account at any time through Settings > Delete Account.
11.2 Termination by Chaptr
We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe:
- Violates these Terms or our policies
- Harms Chaptr, other users, or third parties
- Exposes Chaptr or other users to legal liability
- Is otherwise inappropriate
11.3 Effect of Termination
Upon termination:
- Your right to use the Service will immediately cease
- We may delete your account and User Content
- You will remain liable for all obligations incurred prior to termination
- Provisions that by their nature should survive termination will survive
12. Dispute Resolution and Arbitration
12.1 Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
12.2 Informal Resolution
Before filing a claim, you agree to contact us at support@chaptrnote.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email.
12.3 Binding Arbitration
If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA).
12.4 Class Action Waiver
YOU AND CHAPTR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Chaptr concerning the Service.
13.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
13.3 Assignment
You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice.
13.4 Notices
Any notices or other communications provided by Chaptr under these Terms will be given by posting to the Service or via email to the address associated with your account.
14. Changes to the Service
We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Chaptr shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.
